Terms of Service
These Terms of Service ("Terms") govern access to and use of Nexows, a business operating system and cloud-based software platform provided by Gen Alpha Beta Techno Solutions Private Limited, having its registered/operating address at 303 Tilak Road, Abids, Koti, Hyderabad, India ("Nexows", "Company", "we", "us", or "our").
By creating an organisation, accessing, or using Nexows, you agree to these Terms. If you do not agree with these Terms, you must not use the Service.
1. The Service
Nexows is a multi-tenant cloud-based business management platform that provides business and organisational management capabilities, including, but not limited to:
- Accounting and financial management
- General ledger and chart of accounts
- Invoicing and journal entries
- Banking and bank reconciliation
- Sales and purchase management
- Payroll and human resources management
- Employee and leave management
- Business reports and dashboards
- Other features and integrations made available by Nexows from time to time
The Service may be accessed through web applications, progressive web applications (PWA), mobile or other supported interfaces, and other interfaces introduced by Nexows.
Nexows may add, modify, suspend, or discontinue features of the Service from time to time.
2. Organisations and Users
Nexows is organised around customer organisations.
An organisation may have multiple authorised human users, including administrators, employees, invited users, or other individuals authorised by the organisation.
The organisation is responsible for:
- Managing its users and their access permissions;
- Ensuring that users authorised to access the organisation's account are permitted to do so;
- Maintaining the accuracy and legality of information submitted to the Service;
- Ensuring that its users comply with these Terms; and
- Protecting its account and authentication credentials.
Where an individual accesses Nexows on behalf of an organisation, that individual represents that they have appropriate authority to act on behalf of that organisation.
An individual user may be associated with or authorised to access more than one organisation. Access to each organisation remains subject to the permissions granted by that organisation.
3. Account Registration and Security
Certain features require an account or authenticated access.
Users must provide accurate information and must not impersonate another person or organisation.
Users are responsible for maintaining the security of their authentication credentials and for activities performed through their authorised account.
If you become aware of unauthorised access or a security incident affecting your account, you should notify Nexows promptly.
Nexows may implement authentication, security controls, access controls, and other technical measures to protect the Service and customer environments.
4. Customer Data and Ownership
For purposes of these Terms, "Customer Data" means information, records, files, documents, transactions, and other content submitted, uploaded, generated, or otherwise stored by an organisation or its authorised users through the Service.
The customer organisation retains ownership of its Customer Data.
Nothing in these Terms transfers ownership of Customer Data to Nexows.
The customer grants Nexows the limited rights necessary to host, store, transmit, process, display, and otherwise handle Customer Data solely as reasonably required to provide, maintain, secure, and improve the Service and to comply with applicable law.
The customer is responsible for ensuring that it has all necessary rights, permissions, notices, and lawful bases required to provide Customer Data to Nexows and to permit Nexows to process such data.
5. Data Export and Termination
Customers may export or download their Customer Data using functionality made available by Nexows.
Where an organisation's Service is terminated or suspended, Nexows will, subject to applicable law and technical limitations, provide the customer with an opportunity to access or download its Customer Data.
Nexows may subsequently delete Customer Data in accordance with its applicable data-retention and deletion practices.
The applicable retention and deletion period following termination will be communicated through the Service or applicable policies.
6. Subscription Plans and Free Plans
Nexows may offer multiple subscription plans, including free plans and paid plans.
The features, limitations, pricing, billing terms, and other conditions applicable to each plan may be displayed on the Nexows website or within the Service.
Nexows may introduce, modify, or discontinue plans and features from time to time.
Where applicable, subscription renewal and cancellation may be managed through functionality provided within the Service.
7. Cancellation and Refunds
A customer may cancel its subscription within seven (7) days in accordance with the cancellation functionality and process provided by Nexows.
Where the applicable cancellation occurs within the seven-day period, the customer may be eligible for a refund in accordance with Nexows' applicable refund process.
Any refund amount, processing method, or applicable exceptions may be communicated at the time of cancellation or through the applicable subscription terms.
8. Acceptable Use
You must use Nexows only for lawful and legitimate purposes.
You must not:
- Use Nexows for fraudulent, deceptive, or illegal activities;
- Use the Service to violate applicable laws or regulations;
- Access another organisation's data or account without authorisation;
- Attempt to bypass authentication, access controls, tenant isolation, or other security mechanisms;
- Introduce malware, viruses, malicious code, or other harmful content;
- Interfere with, disrupt, overload, or attempt to compromise the Service;
- Conduct unauthorised security testing or attacks against Nexows infrastructure;
- Scrape, crawl, copy, or systematically extract Service data without authorisation;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except where expressly permitted by applicable law;
- Use the Service to infringe intellectual property, privacy, confidentiality, or other rights of another person or entity;
- Use Nexows to facilitate financial, accounting, payroll, tax, or other fraudulent activity; or
- Circumvent or attempt to circumvent subscription, usage, access, or technical restrictions.
Nexows may investigate suspected violations and take appropriate action, including suspension or termination of access.
9. Customer Responsibilities
The customer is responsible for:
- The accuracy and completeness of information entered into Nexows;
- The legality of Customer Data;
- Obtaining required permissions and consents from individuals whose information is processed through the Service;
- Configuring appropriate user roles and permissions;
- Reviewing reports, calculations, records, and outputs generated by the Service before relying on them; and
- Maintaining appropriate internal controls and business processes.
Nexows provides software and does not replace the customer's responsibility to independently verify business, accounting, tax, payroll, legal, or financial decisions.
10. Professional Advice Disclaimer
Nexows is a software platform and does not itself provide legal, tax, accounting, financial, payroll, or other professional advice.
Information, reports, calculations, dashboards, or other outputs made available through Nexows should not be treated as a substitute for advice from a qualified professional.
Customers remain responsible for their own business, accounting, tax, payroll, legal, and financial decisions.
11. Third-Party Services and Integrations
Nexows may use or integrate with third-party services, infrastructure providers, APIs, software components, communication services, authentication services, storage providers, payment providers, analytics or monitoring services, and other third-party technologies.
Certain features may require the customer to connect or authorise a third-party service.
When a customer enables a third-party integration, the customer's use of that integration may also be subject to the third party's terms and privacy policies.
Nexows may introduce additional third-party integrations from time to time, including integrations with communication and business platforms.
Nexows is not responsible for the independent operation, availability, security, or policies of third-party services outside Nexows' reasonable control.
12. Intellectual Property
The Service, including its software, source code, interfaces, design, branding, logos, documentation, features, and underlying technology, is owned by or licensed to Nexows and is protected by applicable intellectual property laws.
Except for the limited right to use the Service under these Terms, no ownership rights are transferred to the customer.
The customer retains ownership of Customer Data as described in these Terms.
The Nexows name, trademarks, logos, and branding may not be used without prior written permission except where permitted by law.
13. Security
Nexows implements technical and organisational measures designed to protect the Service and Customer Data.
Nexows uses tenant-specific environments and access controls designed to maintain separation between organisations.
However, no internet-based service can be guaranteed to be completely secure.
Customers are responsible for maintaining appropriate account security and for configuring user access appropriately.
14. Service Availability
Nexows does not currently provide a contractual uptime or availability guarantee unless expressly stated in a separate written agreement.
The Service may occasionally be unavailable due to maintenance, upgrades, technical issues, security incidents, infrastructure failures, third-party dependencies, or circumstances beyond Nexows' reasonable control.
Nexows may perform scheduled or emergency maintenance when reasonably necessary.
15. Suspension and Termination
Nexows may suspend or terminate an organisation's or user's access where:
- The customer materially violates these Terms;
- The Service is being used for fraudulent or unlawful activities;
- Continued access presents a security or legal risk;
- The customer attempts to compromise or misuse the Service;
- Suspension or termination is required by applicable law; or
- Other circumstances reasonably require suspension to protect Nexows, its customers, users, or third parties.
Customers may cancel their Service in accordance with the applicable subscription and cancellation terms.
Where reasonably possible, Nexows may provide notice before suspension or termination. Immediate action may be taken where required to prevent fraud, security incidents, unlawful activity, or material harm.
Following termination, customers may retain the ability to download their Customer Data subject to the applicable data-retention period and technical availability.
16. Confidentiality
Each party may receive confidential information belonging to the other party.
Each party agrees to use reasonable measures to protect confidential information and not disclose it except:
- To personnel or service providers who need it to perform the applicable services;
- Where required by law or legal process;
- Where authorised by the other party; or
- Where the information has become publicly available through no fault of the receiving party.
Customer Data will be handled in accordance with these Terms and Nexows' applicable privacy and data-protection policies.
17. Privacy and Data Protection
Nexows may process personal information and other data in connection with providing the Service.
The collection, use, storage, disclosure, retention, and other processing of personal data are described in Nexows' Privacy Policy and other applicable data-protection documentation.
Customers are responsible for ensuring that their use of Nexows and the personal data submitted to the Service complies with applicable data-protection laws.
Where applicable, Nexows and the customer may enter into additional data-processing or data-protection agreements.
18. Changes to the Service
Nexows may modify, improve, replace, or discontinue features of the Service from time to time.
Where appropriate, changes may be communicated through the Nexows website, application, or other reasonable channels.
Nexows does not guarantee that every feature will remain available indefinitely.
19. Changes to These Terms
Nexows may update these Terms from time to time.
The latest version will be made available through the Nexows website or Service.
Changes will be displayed on the applicable Nexows website or application.
By continuing to use Nexows after updated Terms become effective, the customer acknowledges the updated Terms, to the extent permitted by applicable law.
20. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Nexows is provided on an "as is" and "as available" basis.
Nexows does not guarantee that:
- The Service will always be uninterrupted or error-free;
- The Service will meet every customer's specific requirements;
- Every calculation, report, or output will be free from errors; or
- The Service will be available at all times.
Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Nexows and its directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of or inability to use the Service.
This may include loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
Any limitation of liability will be subject to applicable law and any separate written agreement between Nexows and the customer.
22. Indemnification
To the extent permitted by applicable law, the customer agrees to indemnify and hold harmless Nexows and its officers, employees, and affiliates from claims, losses, liabilities, damages, and expenses arising from:
- The customer's unlawful use of the Service;
- Violation of these Terms;
- Customer Data that infringes the rights of another person;
- Unauthorised use of the customer's account; or
- The customer's violation of applicable law.
The scope of this obligation may be subject to applicable law and any separate agreement between the parties.
23. Force Majeure
Nexows will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet or telecommunications failures, infrastructure failures, cyber incidents, government actions, war, civil disturbances, labour disruptions, or failures of third-party providers.
24. Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Subject to any mandatory dispute-resolution requirements under applicable law, disputes arising from or relating to these Terms or the Service will be subject to the jurisdiction of the courts located in Hyderabad, Telangana, India.
25. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
A failure to enforce any provision does not constitute a waiver of that provision.
These Terms, together with applicable policies and agreements referenced herein, constitute the agreement governing use of the Service unless a separate written agreement expressly supersedes them.
